Company Registration in Delhi NCR
In short
To register a company in Delhi NCR, you file the SPICe+ form online with the Ministry of Corporate Affairs (MCA). A private limited company needs at least two directors (one resident in India), two shareholders, a registered office address in the NCR and identity and address proof for each director. Companies in Delhi, Gurugram and Faridabad come under the Registrar of Companies (ROC) Delhi, and those in Noida and Ghaziabad under ROC Kanpur. Once the documents are ready, incorporation usually takes one to two weeks, and you receive the Certificate of Incorporation with the company PAN and TAN.
Registering a company in Delhi NCR
Company registration in India is entirely online. It is the same SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) process in New Delhi, Gurugram or Noida: no government office visit, no physical papers, and every form signed with a digital signature.
What changes with the city is the state of your registered office. The state decides which Registrar of Companies looks after your company after incorporation, how much stamp duty is paid on the Memorandum and Articles, the GST state code on your GSTIN, and which state laws on shops and establishments apply to your premises.
Delhi NCR spans three states, so two businesses a few kilometres apart, one in South Delhi and one in Noida, can sit under different registrars. This guide sets out those differences, the documents and steps, and what to do once the company exists.
Which ROC covers your city
| Registered office in | State | Registrar of Companies | GST state code |
|---|---|---|---|
| New Delhi and the rest of Delhi | NCT of Delhi | ROC Delhi (NCT of Delhi and Haryana) | 07 |
| Gurugram | Haryana | ROC Delhi (NCT of Delhi and Haryana) | 06 |
| Faridabad | Haryana | ROC Delhi (NCT of Delhi and Haryana) | 06 |
| Noida and Greater Noida (Gautam Buddh Nagar) | Uttar Pradesh | ROC Kanpur (Uttar Pradesh) | 09 |
| Ghaziabad | Uttar Pradesh | ROC Kanpur (Uttar Pradesh) | 09 |
New SPICe+ applications are processed centrally by the MCA's Central Registration Centre, so the city does not slow incorporation down. The ROC matters afterwards, for annual filings, changes and any notice the company receives.
Choose the registered office carefully. Moving it later within the same state is a board and ROC filing, but moving it from one state to another (for example from Noida to Delhi) changes the Memorandum and needs Regional Director approval, which takes considerably longer.
Choose the right structure
Most founders in Delhi NCR choose a private limited company, but it is not the only option. The right structure depends on how many owners there are, whether you plan to raise investment, and how much compliance you want to carry.
| Structure | Minimum people | Liability | Usually suits |
|---|---|---|---|
| Private limited company | 2 directors and 2 shareholders | Limited to share capital | Startups and businesses that want investors or ESOPs |
| One Person Company (OPC) | 1 director and 1 member, plus a nominee | Limited to share capital | A single founder who wants a company |
| Limited Liability Partnership (LLP) | 2 designated partners | Limited to agreed contribution | Professional and service firms that will not raise equity |
| Section 8 company | 2 directors and 2 members | Limited | Non-profit work in education, charity, arts or similar objects |
| Public limited company | 3 directors and 7 members | Limited to share capital | Larger businesses that need to raise capital from the public |
| Partnership firm or proprietorship | 2 partners, or 1 owner | Unlimited and personal | Small, owner-run businesses |
Who can register a company in Delhi
- Any individual aged 18 or over can be a director, provided they are not disqualified under the Companies Act, 2013. Directors and shareholders do not need to live in Delhi.
- At least one director must be resident in India, meaning they stayed in India for 182 days or more during the financial year.
- NRIs and foreign nationals can be directors and shareholders. Foreign investment must follow the FDI rules for the sector, and foreign documents usually need to be notarised or apostilled.
- An existing company or LLP can be a shareholder, acting through an authorised representative.
- The company needs a registered office address in the state where you register it. A home, a rented office or a co-working space can be used with the right proof.
Documents required
- PAN card of every director and shareholder (passport for foreign nationals)
- Identity proof: Aadhaar, voter ID, passport or driving licence
- Address proof: a bank statement, or an electricity, telephone or mobile bill not older than two months
- A recent passport-size photograph of each director and shareholder
- Registered office proof: a utility bill not older than two months in the owner's name (for example from BSES, Tata Power-DDL, DHBVN or PVVNL, depending on the area)

- Director consent (DIR-2) and the subscriber and director declaration (INC-9), which we prepare for signature
We send an exact checklist for your case before anything is filed, because requirements change with the structure, the people involved and whether anyone is overseas.
Step-by-step registration process
Choose the structure and name
We confirm the structure that suits you and check proposed names against the MCA register and the trademark registry, so the name has the best chance of approval on the first attempt.
Get digital signatures
Class 3 Digital Signature Certificates (DSC) are issued for the proposed directors and subscribers after video and document verification.
Reserve the name (SPICe+ Part A)
The name is reserved through SPICe+ Part A. Director Identification Numbers (DIN) for up to three new directors are allotted within SPICe+ itself.
Draft the MoA and AoA
We draft the e-Memorandum and e-Articles of Association around your business objects, share capital and how decisions will be made.
File SPICe+ Part B and AGILE-PRO-S
The incorporation form is filed with the linked forms for PAN, TAN, EPFO and ESIC registration, GSTIN if you want one, and opening the company bank account. Stamp duty for Delhi, Haryana or Uttar Pradesh is paid online at this stage.
Receive the Certificate of Incorporation
Once approved, the MCA issues the Certificate of Incorporation with the Corporate Identity Number (CIN), and the company PAN and TAN.
Open the bank account and start up
The current account is opened, the subscribers pay for their shares, and the post-incorporation steps below begin.
What company registration in Delhi costs
The total cost is made up of a few separate items. Government charges depend on the state of the registered office and on authorised capital, so we quote them for your case rather than publish one figure that may not apply to you.
- Digital Signature Certificates for each director and subscriber, charged by the certifying authority
- MCA filing fees on SPICe+. Under the current fee rules, no incorporation filing fee is charged for companies with authorised capital up to ₹15 lakh
- Stamp duty on the MoA and AoA, which is set by each state and depends on authorised capital, so it differs between Delhi, Haryana and Uttar Pradesh
- Professional fees for drafting, filing and follow-up, which we quote in writing before you start
Keeping authorised capital at a sensible level keeps fees and stamp duty down. It can be increased later when the business needs it.
How long it takes
Once documents are complete, incorporation usually takes one to two weeks. Digital signatures take a day or two, and the rest depends on name approval and MCA processing time, which no one outside the MCA controls.
The most common causes of delay are a name that is too close to an existing company or trademark, a utility bill older than two months, and mismatches between the name or address on PAN, Aadhaar and other documents. We check for all three before filing.
After incorporation: compliance in Delhi NCR
- Hold the first board meeting within 30 days and appoint the first auditor within 30 days of incorporation
- Issue share certificates to subscribers within 60 days
- Receive the subscription money in the company bank account and file the declaration for commencement of business (INC-20A) within 180 days
- Register for GST when turnover crosses ₹40 lakh for goods or ₹20 lakh for services, or earlier if you make inter-state supplies of goods or sell through e-commerce platforms. Delhi GSTINs begin with 07, Haryana with 06 and Uttar Pradesh with 09
- Register the office or shop under the state's shops and establishments law where it applies, since Delhi, Haryana and Uttar Pradesh each have their own
- File the annual ROC returns (AOC-4 and MGT-7 or MGT-7A), DIR-3 KYC for each director and the company income tax return every year
Optional registrations that often help a new company include MSME (Udyam) registration and Startup India (DPIIT) recognition.
