Sole Proprietorship Registration

In short

There is no single law for registering a sole proprietorship in India. A proprietorship is established through registrations in the proprietor's name, typically GST registration, Udyam (MSME) registration and a shop and establishment licence, which together let you open a current account in the business name.

Overview

A sole proprietorship is the quickest and least expensive way for one person to start trading. The business and the owner are the same legal person, so profits are taxed as the proprietor's income and there are no ROC filings.

The trade-off is unlimited personal liability and limited options for bringing in investors. Many founders start as a proprietorship and later move to a One Person Company or private limited company.

Frequently asked questions

How do I prove my sole proprietorship exists?

Through registrations in the business name, such as a GST certificate, Udyam certificate or shop and establishment licence. Banks usually ask for two such documents to open a current account.

Can I convert my proprietorship into a company later?

Yes. The business can be taken over by a new private limited company or OPC, transferring its assets and liabilities. We can plan the move with you.
