Change of Registered Office
In short
The procedure depends on where the office moves. Within the same city, a board resolution and Form INC-22 are enough. To another city under the same ROC, a special resolution and Form MGT-14 are also needed. A move to another state requires a special resolution, approval of the Regional Director in Form INC-23 and an alteration of the MoA.
Overview
The registered office is where official communications are sent, and its address appears on letterheads and invoices. Changes must be notified to the ROC in time and reflected in GST and other registrations.
